Common use of Other Assurances Clause in Contracts

Other Assurances. The Purchaser shall have delivered to the Seller such other and further certificates, assurances and documents as the Seller may reasonably request in order to evidence the accuracy of the Purchaser's representations and warranties, the performance of its covenants and agreements to be performed at or prior to the Closing, and the fulfillment of the conditions to the Seller's obligations.

Other Assurances. The Purchaser Seller shall have delivered to the Seller Buyer such other and further certificates, assurances and documents as the Seller Buyer may reasonably request in order to evidence the accuracy of the Purchaser's representations and warrantieswarranties made pursuant to Seller’s Representations, the performance of its covenants and agreements to be performed by Sellers at or prior to the Closing, and the fulfillment of the conditions to the Seller's obligationsBuyer’s obligation.

Other Assurances. The Purchaser Buyer shall have delivered to the Seller such other and further certificates, assurances and documents as the Seller may Sellersmay reasonably request in order to evidence the accuracy of the Purchaser's representations and warrantieswarranties made pursuant to Buyers Representations, and, the performance of its covenants and agreements to be performed by Buyer at or prior to the Closing, and the fulfillment of the conditions to the Seller's ’s obligations.

The Purchaser Seller shall have delivered to the Seller Purchaser such other and further certificates, assurances and documents as the Seller Purchaser or AASI may reasonably request in order to evidence the accuracy of the PurchaserSeller's representations and warranties, the performance of its covenants and agreements to be performed at or prior to the Closing, and the fulfillment of the conditions to the SellerPurchaser's obligations.

The Purchaser Each of Seller and the Shareholder shall have delivered to the Seller Buyer such other and further certificates, assurances and documents as the Seller Buyer may reasonably request in order to evidence the accuracy of Seller's and the PurchaserShareholder's representations and warranties, the performance of its covenants and agreements to be performed at or prior to the Closing, and the fulfillment of the conditions to the SellerBuyer's obligations.

Other Assurances. The Purchaser shall have delivered to the Seller Sellers such other and further certificates, assurances and documents as the Seller Sellers may reasonably request in order to evidence the accuracy of the Purchaser's representations and warrantieswarranties made pursuant to Article IV, the performance of its covenants and agreements to be performed pursuant to Article V at or prior to the Closing, and the fulfillment of the conditions to the Seller's Sellers' obligations.

Other Assurances. The Purchaser Seller shall have delivered delivered, and shall have caused its Affiliates to the Seller deliver, to Purchaser such other and further certificates, assurances and documents as the Seller Purchaser may reasonably request in order to evidence the accuracy of the Purchaser's representations and warrantieswarranties of Seller, the performance of its covenants and agreements to be performed by Seller pursuant hereto at or prior to the Closing, and the fulfillment of the conditions to the Seller's obligationsobligations of Purchaser.

Other Assurances. The Purchaser shall have delivered delivered, and shall have caused its Affiliates to the deliver, to Seller such other and further certificates, assurances and documents as the Seller may reasonably request in order to evidence the accuracy of the Purchaser's representations and warrantieswarranties of Purchaser, the performance of its covenants and agreements to be performed by Purchaser pursuant hereto at or prior to the Closing, and the fulfillment of the conditions to the obligations of Seller's obligations.
