Other Activities Permitted. This Agreement shall not be construed in any manner to preclude the Member, any Representative or any of other Indemnified Person from engaging in any activity whatsoever permitted by applicable law (whether or not such activity might compete, or constitute a conflict of interest, with the Company) and no such person shall have any obligation to present or otherwise make available to the Company any business opportunity of which that such person may become aware.
Other Activities Permitted. The General Partner, the Partners and their respective Affiliates, and each of them, are now involved in, and shall continue to have the absolute right to organize and operate, other partnerships (whether limited or general), corporations, trusts, sole proprietorships, limited liability companies, or any other form of business entity, venture or enterprise, to purchase, own, manage and operate, for investment or any other purposes, other real property or businesses, and may otherwise engage in any other business venture of any kind, including acquiring, financing, developing, leasing, managing, operating and selling retail property or other real property and improvements thereon, all without participation by the other Partner, or its Affiliates, and without liability to any of them. Neither the Partnership, nor any other Partner, shall have the right to any income or profit derived by a Partner or its Affiliates from any such enterprise or opportunity. Notwithstanding the foregoing provisions of this Section 7.4, before the earlier of (i) the expiration of the eighteen-month period described in Section 4.1.1 or (ii) the date on which the Partnership has expended all of the Capital Commitments, PECO-ARC, the Sub-Advisor and their respective Affiliates shall not acquire or invest in any property fitting the Investment Strategy except through the Partnership.

Other Activities Permitted. Except as expressly provided hereunder, this Agreement shall not be construed in any manner to preclude any Member or any of its Affiliates from engaging in any activity whatsoever permitted by applicable law (whether or not such activity might compete, or constitute a conflict of interest, with the Company), including, without limitation, the provision of financial or investment advisory services to any Person, managing investments or receiving compensation or profit from any of the foregoing. The Blackstone Member acknowledges that the Tanger Guarantor and its Affiliates are engaged in the ownership and management of retail shopping facilities similar to, and in geographic proximity with, the Properties. The Blackstone Member acknowledges that neither the Tanger Guarantor, the Tanger Member nor any Affiliate of the Tanger Guarantor has any obligation (whether arising at law or in equity) to refrain from the ownership and/or management of any such other shopping center; provided, such acknowledgment does not diminish or impair any rights of the Company or obligations of the Tanger Manager under the Tanger Management Agreement or under the Tanger License Agreement. The Tanger Member acknowledges that neither BREP, the Blackstone Member nor any Affiliate of BREP has any obligation (whether arising at law or in equity) to refrain from the ownership and/or management of retail shopping facilities similar to, and in geographic proximity with, the Properties.

Other Activities Permitted. This Agreement shall not be construed in any manner to preclude any Partner or any of its Affiliates from engaging in any activity whatsoever permitted by applicable law (whether or not such activity might compete, or constitute a conflict of interest, with the Partnership), including the engagement by a Partner or any Affiliate thereof in Partnership Business, and neither the Partnership nor any other Partner shall have any right by virtue of this Agreement in any such other activity or to the income or profits derived therefrom.
Other Activities Permitted. The Manager, the Members and their respective Affiliates, and each of them, are now involved in, and shall continue to have the absolute right to organize and operate, other partnerships (whether limited or general), corporations, trusts, sole proprietorships, limited liability companies, or any other form of business entity, venture or enterprise, to purchase, own, manage and operate, for investment or any other purposes, other real property or businesses, and may otherwise engage in any other business venture of any kind, including acquiring, financing, developing, leasing, managing, operating and selling medical office property or other real property and improvements thereon, all without participation by the other Member, or its Affiliates, and without liability to any of them. Neither the Company, nor any other Member, shall have the right to any income or profit derived by a Member or its Affiliates from any such enterprise or opportunity.
Other Activities Permitted. Except as specifically set forth in Section 3.2, nothing herein shall prohibit M-I and its Affiliates, or MCA and its Affiliates, from conducting any and all aspects of its other businesses throughout the world, provided, however, neither M-I and its Affiliates, nor MCA and its Affiliates, shall engage in the business of providing compressed air services.
Other Activities Permitted. The Manager Member shall devote ----------- -------------------------- to the Company's business such time as is necessary in its judgment for the proper performance of its duties. The Manager Member, or an officer, director, employee or affiliate of the Manager Member, may have an interest or may engage in any other business or investment, regardless of whether these activities are in direct or indirect competition with the operation of the business of the Company. The Company and the Other Members shall have no rights in or to any of such interests, businesses or investments, or in or to any income or profit derived therefrom.
