Common use of Organization of Purchaser Clause in Contracts

Organization of Purchaser. Purchaser (a) is a corporation duly organized, validly existing and in good standing under the laws of the state of its organization, (b) has the corporate power to own its property and to carry on its business as now being conducted by it, and (c) is duly qualified to transact business and is, or by the Closing Date will be, in good standing in all states reflected on Schedule 5.1.

Organization of Purchaser. Purchaser (a) is a corporation duly organized, validly existing and in good standing under the laws of the state its jurisdiction of formation, has all power and capacity to own, lease and operate its organization, (b) has the corporate power to own its property properties and to carry on its business as it is now being conducted by it, and (c) is duly qualified to transact business and is, or by the Closing Date will be, in good standing to do business in all states reflected on Schedule 5.1each jurisdiction in which the nature of the business conducted by it or the ownership or leasing of its properties makes such qualification necessary.

Organization of Purchaser. Purchaser (a) is a corporation duly organized, validly existing existing, and in good standing under the laws of the state of United States. Purchaser has all requisite company power and authority to own, lease and operate its organization, (b) has the corporate power to own its property assets and properties and to carry on its business as now being conducted by it, and (c) is duly qualified to transact business and is, or by the Closing Date will be, in good standing in all states reflected on Schedule 5.1conducted.

Organization of Purchaser. Purchaser (a) Purchaser is a corporation duly organized, validly existing and in good standing under the laws of the state jurisdiction of its organization, incorporation and has all necessary power and authority: (bi) has to conduct its business in the corporate power manner in which its business is currently being conducted; (ii) to own and use its property assets in the manner in which its assets are currently owned and to carry on its business as now being conducted by it, used; and (ciii) to perform its obligations under all Contracts by which it is duly qualified to transact business and is, or by the Closing Date will be, in good standing in all states reflected on Schedule 5.1bound.
