Common use of Organization of Purchaser Clause in Contracts

Organization of Purchaser. The Purchaser is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, with full corporate power and corporate authority to own, lease and operate its properties and to carry on its business in the manner in which such business is now being conducted, to own the Stock being acquired in the Acquisition pursuant to this Agreement and to enter into and perform its obligations under this Agreement.

Organization of Purchaser. The Purchaser is a corporation duly organized, validly existing and in good standing under the laws of Delaware and has the State of Delaware, with full corporate power and corporate lawful authority to own, lease and operate its assets, properties and business and to carry on its business in the manner in which such business is all material respects as now being conducted, to own the Stock being acquired in the Acquisition pursuant to this Agreement and to enter into and perform its obligations under this Agreement.

Organization of Purchaser. The Purchaser is a corporation duly organized, organized and validly existing and in good standing under the laws of the State of Delaware, with full . The states in which Purchaser is qualified to do business are set forth on Schedule 6.1. Purchaser has all necessary corporate power and corporate authority to own, lease and operate its properties and to carry on conduct its business in the manner in which such business as it is now currently being conducted. Except as set forth on Schedule 6.1, to own the Stock being acquired Purchaser does not own, directly or indirectly, any equity interest in the Acquisition pursuant to this Agreement any corporation, partnership, joint venture, or other entity and to enter into and perform its obligations under this Agreementdoes not have any subsidiaries.

Organization of Purchaser. The Purchaser is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, Delaware with full corporate power and corporate authority to own, conduct its business as it is presently being conducted and to own and lease and operate its properties and assets. Purchaser is duly qualified to carry do business as a foreign corporation and is in good standing in each jurisdiction where the character of its properties owned or leased or the nature of its activities make such qualification necessary, except where the failure to be so qualified or in good standing would not have a Material Adverse Effect on its business in the manner in which such business is now being conducted, to own the Stock being acquired in the Acquisition pursuant to this Agreement and to enter into and perform its obligations under this Agreementbusiness.
