Common use of Organization; Authority; Qualification Clause in Contracts

Organization; Authority; Qualification. The Company has been duly formed, is validly existing and in good standing (to the extent applicable) under the laws of the jurisdiction of its formation, and has all requisite power and authority to carry on its business as it is presently conducted and, to the extent required under applicable law, is qualified to do business in each jurisdiction in which the nature of its business or the ownership, leasing or operation of its property make such qualification necessary, except where the failure to be so qualified would not have a Material Adverse Effect. The Company has made available to the Contributors true and correct copies of the organizational documents of the Company, with all amendments as in effect on the date of this Agreement.
