ORGANIZATION AND GOOD WILL. MSGI will use its reasonable efforts, consistent with the terms of this Agreement, to preserve its business, business organization and good will, keep available to MSGI its present officers and key employees and preserve its present relationships with persons having business dealings with it.

ORGANIZATION AND GOOD WILL. Santa Lucia will use its reasonable efforts, consistent with the terms of this Agreement, to preserve its business, business organization and good will, keep available to Santa Lucia its present officers and key employees and preserve its present relationships with persons having business dealings with it.
ORGANIZATION AND GOOD WILL. Except as set forth in DL 5.3, the Corporation will use all reasonable efforts to preserve the business, business organization and good will of the Corporation and each of its Subsidiaries, keep in place their present executive officers and key employees, and preserve their present relationships with persons having business dealings with them.
