Purchaser is a duly organized, validly existing corporation in good standing under the laws of the State of Nevada; Purchaser has, and its officers acting on its behalf have, all necessary statutory power and authority to make and perform this Agreement, including (without limitation) the power and authority to purchase Student Loans from Seller under the terms and conditions of this Agreement.

Purchaser is an entity controlled by Dxxxx Xxxxxxx, including (without limitation) the power Company’s sole officer and authority to purchase Student Loans from Seller under the terms and conditions of this Agreementdirector.
