Ordered Disclosure. In the event that the Employee is ordered to disclose any Confidential Information, whether in a legal or regulatory proceeding or otherwise, the Employee shall provide the Company with prompt notice of such request or order so that the Company may seek to prevent disclosure or, if that cannot be achieved, the entry of a protective order or other appropriate protective device or procedure in order to assure, to the extent practicable, compliance with the provisions of this Agreement. In the case of any disclosure, the Employee shall disclose only that portion of the Confidential Information that the Employee is ordered to disclose.

Ordered Disclosure. If the Executive is ordered to disclose any Confidential Information, whether in a legal or regulatory proceeding or otherwise, the Executive shall disclose only that portion of the Confidential Information that the Executive is ordered and legally obligated to disclose. The Employee shall promptly provide written notice of any such order to an authorized officer of the Company.
Ordered Disclosure. If Recipient is requested or required to disclose any Confidential Information by subpoena or other order of a court or regulatory agency (“Required Disclosure”), then Recipient shall promptly inform Owner of such requirement and before making such disclosure, provide an adequate opportunity for Owner to oppose such requirement, to limit the Confidential Information to be disclosed, and/or to seek confidential treatment of such Confidential Information. Recipient shall cooperate, at Owner’s expense, with Owner’s attempts to so oppose, limit or seek confidential treatment. Additionally, Recipient shall disclose only such Confidential Information as is required under the Required Disclosure. Any Required Disclosure made shall not reduce Recipient’s obligations under this Agreement, except as is necessary to comply with the Required Disclosure.

Ordered Disclosure. Should Agency be required to disclose Confidential Information pursuant to applicable law, or an order received from a court or governmental authority of competent jurisdiction, it shall, if and to the extent permitted by law, give Dominion Energy notice as soon as possible to afford Dominion Energy an opportunity to defend against such disclosure. If any disclosure is finally ordered, Agency shall disclose only such of the Confidential Information as is necessary to meet the requirements of such order as reasonably determined by Agency’s legal counsel.
