Common use of Order Form Term Clause in Contracts

Order Form Term. The term for each Order Form shall commence on the effective date of the applicable Order Form (or, if no effective date is specified, on the date the Order Form has been executed by both Customer and Iternal) and shall be in effect for the term specified in the Order Form provided, that if no such term is indicated in the Order Form, the initial term shall be for one year (the “Initial Term”). The term of each Order Form will automatically renew for successive periods equal to the length of the Initial Term (each, a “Renewal Term”) unless a party provides written notice 30 days in advance of the expiry of the Initial Term or then-current Renewal Term of its desire to amend the duration of the Renewal Term or terminate the Order Form. The per- unit pricing during any Renewal Term will increase by up to 7% above the applicable pricing in the prior term, unless Iternal provides Customer notice of different pricing at least 60 days prior to the applicable renewal term. Except as expressly provided in the applicable Order Form, renewal of promotional or one-time priced subscriptions will be at Iternal’s applicable list price in effect at the time of the applicable renewal. Notwithstanding anything to the contrary, any renewal in which subscription volume for any Covered Solutions has decreased from the prior term will result in re-pricing at renewal without regard to the prior term’s per-unit pricing. Quantity Discounts will only apply to purchases made concurrently on the same Order Form. Discounts are not cumulative. New Iternal Credits will be priced as per the pricing table in Attachment 4 of this Agreement.
