Common use of Options or Other Rights Clause in Contracts

Except as described on SCHEDULE 2.4, no options, warrants, calls, commitments or other rights to acquire, sell or issue Company Shares or equity interests of the Company, whether upon conversion of other securities or otherwise, are issued or outstanding, and there is no agreement or understanding with respect to the voting of such Company Shares or other equity interests.
