Common use of Optionee’s Representations Clause in Contracts

Optionee’s Representations. In the event the Common Shares purchasable pursuant to the exercise of this Option have not been registered under the Securities Act of 1933 ("Act"), as amended, at the time this Option is exercised, Optionee shall, concurrent with the exercise of all or any portion of this Option, deliver to the Company an investment representation statement in the form requested by the Company.

Optionee’s Representations. In the event the Common Shares purchasable pursuant to the exercise of this Option have not been registered under the Securities Act of 1933 1933, as amended ("Securities Act"), as amended, at the time this Option is exercised, and such registration is required for the Optionee to effect the sale or transfer of such Shares, the Optionee shall, concurrent concurrently with the exercise of all or any portion of this Option, deliver to the Company an investment representation statement his or her Investment Representation Statement in the form requested by the Companyattached hereto as Annex "A".
