Common use of Optional Purchases by the Corporation Clause in Contracts

Optional Purchases by the Corporation. The Corporation may from time to time purchase by private contract, in the open market, on any stock exchange or otherwise any of the Warrants. Any such purchase shall be made at the lowest price or prices at which, in the opinion of the directors, such Warrants are then obtainable, plus reasonable costs of purchase, and may be made in such manner, from such persons and on such other terms as the Corporation, in its sole discretion, may determine subject to compliance with all applicable laws. Any Warrant Certificates representing the Warrants purchased pursuant to this Section 5.1 shall forthwith be delivered to and cancelled by the Trustee. No Warrants shall be issued in replacement thereof. With respect to Global Warrants, in the event Warrants are purchased only in part, the Trustee shall make notations on the Global Warrant of the amount thereof so purchased in accordance with the Applicable Procedures.
