Option Grant Terms. The Employer agrees that it will cause the terms and conditions of any options to purchase the Employer’s shares of capital stock or any other equity-based instruments granted to the Executive during the Employment Agreement Term to conform with the provisions of this Agreement. Where the terms of any grant Agreement with the Executive or any stock incentive plan or stock option plan adopted by the Employer conflict with this Agreement, the Employer agrees that the terms of this Agreement shall control, apply to and determine the terms of the grant to the fullest extent permitted by applicable law.
