Common use of Option Closing Date Opinion of Counsel Clause in Contracts

Option Closing Date Opinion of Counsel. On the Option Closing Date, if any, the Underwriter shall have received the opinion of Xxxxxxxxxx, including a statement of negative assurance listed in Section 4.2.1, dated the Option Closing Date addressed to the Underwriter and in form and substance reasonably satisfactory to the Underwriter, confirming as of the Option Closing Date, the statements made by such counsel in its respective opinion and letter of negative assurance delivered on the Closing Date.

Option Closing Date Opinion of Counsel. On or before the Option Closing Date, if any, the Underwriter shall have received the favorable opinion of Xxxxxxxxxx, including a statement each of negative assurance the counsel listed in Section Sections 4.2.1, 4.2.2 and 4.2.3, dated the Option Closing Date Date, addressed to the Underwriter and in form and substance reasonably satisfactory to the Underwriter, confirming as of the Option Closing Date, the statements made by such counsel in its respective opinion and letter of negative assurance delivered on the Closing Date.

On the Option Closing Date, if any, the Underwriter shall have received the opinion of XxxxxxxxxxDurham Xxxxx & Xxxxxxx, including P.C. which opinion will include a statement of negative assurance listed in Section 4.2.1, dated the Option Closing Date Date, addressed to the Underwriter and in form and substance reasonably satisfactory to the Underwriter, confirming as of the Option Closing Date, the statements made by such counsel in its respective opinion and letter statement of negative assurance delivered on the Closing Date.

On the Option Closing Date, if any, the Underwriter Representative shall have received the opinion of Xxxxxxxxxx, including a statement Golenbock Xxxxxxx Assor Xxxx & Xxxxxx LLP and letter of negative assurance listed in Section 4.2.15.2.1, in each case dated the Option Closing Date addressed to the Underwriter Representative on its own behalf and on behalf of the Underwriters and in form and substance reasonably satisfactory to the UnderwriterRepresentative, confirming as of the Option Closing Date, the statements made by such counsel in its respective opinion and letter of negative assurance delivered on the Closing Date.

On the Option Closing Date, if any, the Underwriter shall have received the an opinion letter from K&L Gates LLP (which shall include negative assurances language and a form of Xxxxxxxxxx, including a statement of negative assurance listed in Section 4.2.1, which opinion is attached as Annex 2 hereto) dated the Option Closing Date addressed to the Underwriter and in form and substance reasonably satisfactory to the Underwriter, confirming as of the Option Closing Date, the statements made by such counsel in its respective opinion and letter of negative assurance delivered on the Closing Date.
