Common use of Opinion of Special PRC Counsel for Company Clause in Contracts

Opinion of Special PRC Counsel for Company. At Closing Time, the Representative shall have received the favorable opinion, dated as of such Closing Time, of Commerce & Finance Law Office, special People’s Republic of China counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Special PRC Counsel for Company. At Closing Time, the Representative shall have received the favorable opinion, dated as of such Closing Time, of Commerce & Finance Law OfficeGrandall Legal Group, special People’s Republic of China PRC counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit C hereto.

Opinion of Special PRC Counsel for Company. At Closing Time, the Representative Representatives shall have received the favorable opinion, dated as of such Closing Time, of Commerce & Finance Law Office, special People’s Republic of China counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Special PRC Counsel for Company. At Closing Time, the Representative shall have received the favorable opinion, dated as of such Closing Time, of Commerce Jincheng & Finance Tongda Law OfficeFirm, special People’s Republic of China PRC counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit D hereto and to such further effect as the Underwriters may reasonably request.

Opinion of Special PRC Counsel for Company. At Closing Time, the Representative Lead Manager shall have received the favorable opinion, dated as of such Closing Time, of Commerce & Finance Law Office, special People’s 's Republic of China counsel for the Company, in form and substance satisfactory to counsel for the UnderwritersInternational Managers, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit C hereto and to such further effect as counsel for the International Managers may reasonably request.

Opinion of Special PRC Counsel for Company. At Closing Time, the Representative shall have received the favorable opinion, dated as of such Closing Time, of Commerce & Finance Guantao Law OfficeFirm, special People’s Republic of China PRC counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit C hereto and to such further effect as counsel for the Underwriters may reasonably request.
