A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxxxxxxxx Traurig, LLP, special New York counsel for the Borrower, substantially in the form of Exhibit G, and covering such other matters relating to the laws of the State of New York and to the Borrower, this Agreement or the Transaction s as the Required Lenders shall reasonably request. The Borrower hereby requests such counsel to deliver such opinion to the Lenders and the Administrative Agent.
