Common use of Opinion of Counsel to the Borrower Clause in Contracts

Opinion of Counsel to the Borrower. The Administrative Agent shall have received an opinion of (i) Xxxxx & Xxxxxxx, L.L.P., outside counsel to the Borrower, and (ii) Xxxxxx X. Xxxxxx, Esq., in-house counsel to the Borrower, and (iii) counsel to each Subsidiary Guarantor and each Assignor, and their respective general partners, managing partners or managing members, as applicable, each addressed to the Administrative Agent and the Lenders, and each dated the Effective Date, and each in form and substance satisfactory to Administrative Agent, covering such matters as Administrative Agent may reasonably request.

Opinion of Counsel to the Borrower. The Administrative Agent shall have received an opinion of (i) Xxxxx & Xxxxxxx, Xxxxxxx L.L.P., outside counsel to the Borrower, and (ii) Xxxxxx X. Xxxxxx, Esq., in-in house counsel to the Borrower, and (iii) counsel to each Subsidiary Guarantor and each AssignorGuarantor, and their respective general partners, managing partners or managing members, as applicable, each addressed to the Administrative Agent and the Lenders, and each dated the First Amendment Effective Date, and each in form and substance satisfactory to Administrative Agent, covering such matters as the Administrative Agent may reasonably request.
