Opinion of Counsel for Noble and Acquisition. Seller shall have received from each of Jaffe, Raitt, Heuer & Weisx, Professional Corporation, counsel for Noble, and Davixx, Xxxx & Xeck, counsel for Acquisition, respectively, a legal opinion, dated the Closing Date, with respect to legal matters related to this Agreement and the transactions contemplated hereby and in form and substance reasonably acceptable to Tiercon and Seller.
