Operative Event. Notwithstanding any provision herein to the contrary, no amounts shall be payable or benefits provided hereunder unless and until (i) there is a Change in Control at a time when the Executive is employed by the Company or (ii) the Executive is terminated by the Company before, but in connection with, a Change in Control.
