Operating Partnership Authorization of Agreement. This Agreement and the transactions contemplated herein have been duly and validly authorized by the Operating Partnership and this Agreement has been duly and validly executed and delivered by the Operating Partnership.
Operating Partnership Authorization of Agreement. The execution and delivery of this Agreement by the Operating Partnership and the consummation by it of the transactions contemplated hereby have been duly authorized by the Operating Partnership. This Agreement has been duly executed by the Operating Partnership and is the valid and binding obligation of the Operating Partnership enforceable against the Operating Partnership in accordance with its terms, except as may be limited by (i) applicable bankruptcy, insolvency, reorganization or other laws of general application relating to or affecting the enforcement of creditors rights generally, and (ii) the effect of rules of law governing the availability of specific performance and other equitable remedies.
