Operating Documents. Operating Documents of each Borrower Subsidiary that is becoming a Borrower Group Member in connection with such Additional Advance, certified as of the related Additional Advance Date as true and correct, and which shall contain limitations on purpose and other bankruptcy remoteness provisions reasonably satisfactory to the Administrative Agent;

Prompt notice of any material amendments of or other material changes to the Operating Documents of any Loan Party or any of its Subsidiaries, together with any copies reflecting such amendments or changes with respect thereto and prior to an initial public offering of Borrower Representative’s common stock, any material amendments and material changes to the capitalization table of Borrower Representative upon Lender’s request and in any event annually, together with Borrower Representative’s delivery of its audited consolidated financial statements;

On or prior to the date of the initial borrowing under the Construction Loan, Lender shall have received from Borrower and any entity Guarantor, a copy of Borrower’s and such Guarantor’s operating agreement or partnership agreement, certified as to completeness and accuracy by an appropriate officer, manager, managing member or partner of such respective Borrower and Guarantor.

All right, title and interest of Seller in and to (i) the management services contract dated as of June 24, 1994 between Seller and NJ Doctors and the amended and restated management services contract dated as of June 24, 1994 between Seller and Ambulatory Medical Services of New York, P.C., (ii) all managed care, management services, maintenance, utility and other similar contracts and agreements related or pertaining to the delivery of medical services to patients, the operation, maintenance or management of the Business (including without limitation those listed on SCHEDULE 1.1(a)(3)(A) attached hereto and made a part hereof) (the "Operating Contracts"), (iii) all certificates of occupancy or use and all other material permits, licenses, consents and authorizations held in connection with the ownership, use, occupancy or operation of the Business (including, without limitation, those listed on SCHEDULE 1.1(a)(3)(B) attached hereto and made a part hereof), all warranties, guaranties and agreements relating or pertaining to the Assets (collectively, with the Operating Contracts, the "Operating Documents")
Operating Documents. Copies of all real and personal property tax bills and utility bills and a statement of income and expenses for the Property for the last two years, and all notices regarding any actual or potential claim, default, violation or liability with respect to the Property, that Seller has in its possession.
