Operating and Maintenance Fee. ECS shall pay Operator an operating and maintenance fee to operate and maintain the Compressor Motor Facilities (including the provision of administrative services) (the "Operating and Maintenance Fee"). The Operating and Maintenance Fee shall be the O&M Conversion Factor (based on the Load Factor for such month, as set forth in the table in Exhibit "B") multiplied by Total Shaft Energy. In no event shall the total of all Operation and Maintenance Fees for any Contract Year be less than $______. The Operating and Maintenance Fee covers all of Operator’s operation and maintenance costs (including, but not limited to capital expenditures) incurred in the operation of the Compressor Motor Facilities, and the cost of all scheduled maintenance and repair for the particular Contract Year. Notwithstanding the above, the Operating and Maintenance Fee shall not cover any costs associated with the repair and/or replacement of facilities that are covered under Owner’s insurance protection as specified in Article 10 herein, the cost of such insurance, and any ad valorem taxes relating to the Compressor Motor Facilities. Operator shall invoice the Owner for the Operating and Maintenance Fee for the immediately preceding month within 20 days of the 1st day of each month. Owner shall provide to Operator the necessary information required for calculation of the Load Factor within 15 days of the 1st day of each month. The Operating and Maintenance Fee shall be paid by Owner to Operator within 10 days of Owner's receipt of such invoice by wire transfer to an account to be designated by Operator. Should this Agreement terminate prior to the end of any month the Operating and Maintenance fee shall be prorated based upon the portion of the month in which the Agreement was in effect.

Operating and Maintenance Fee. Commencing , the Department shall pay to the Authority an Operating and Maintenance Fee determined in accordance with the Management Agreement, such fee to be equal to one-twelfth (1/12th) of the “Budget” (as defined in the Management Agreement) for the period in question. Such Operating and Maintenance Fee reflects the Department’s monthly payment for the operation and routine maintenance and repair of the Premises as described in the Management Agreement. The Operating and Maintenance Fee shall be subject to increase and reduction in accordance with the terms of the Management Agreement.

Related to Operating and Maintenance Fee

  • Operating and Maintenance Costs The Participating Generator shall be responsible for all its costs incurred in connection with operating and maintaining the Generating Units identified in Schedule 1 for the purpose of meeting its obligations under this Agreement.

  • Operating and Maintenance Expenses Subject to the provisions herein addressing the use of facilities by others, and except for operations and maintenance expenses associated with modifications made for providing interconnection or transmission service to a third party and such third party pays for such expenses, the Interconnection Customer shall be responsible for all reasonable expenses including overheads, associated with: (1) owning, operating, maintaining, repairing, and replacing the Interconnection Customer’s Interconnection Facilities; and (2) operation, maintenance, repair and replacement of the Participating TO’s Interconnection Facilities.

The timing of work accomplishment shall be based on Purchaser’s Op- erating Schedule under B6.31. When two or more commercial users are simultane- ously using the same road where Forest Service is not requiring maintenance deposits, the commercial users will develop maintenance responsibilities and arrangements for accomplishing the work. Forest Service must agree to this plan. If the commercial users cannot agree on main- tenance responsibilities, Forest Service shall resolve the differences. If Purchaser elects to use different roads than those listed in C5.31, Forest Service shall determine Pur- chaser’s commensurate share of road maintenance and revise road maintenance deposits in C5.32. If Forest Service cannot perform its full commensu- rate share of road maintenance, Forest Service shall make a cash payment to Purchaser for performance of such work. Unless agreed in writing, prehaul maintenance shall be completed on any portion of road prior to hauling on that portion. Maintenance, as used in this contract, does not include road reconstruction or repairs of an extraordi- nary nature.

  • Construction and Maintenance There are on-going maintenance, renovation and construction projects taking place in and around the residences. The work typically takes place during regular business hours, but may begin earlier or extend into evenings or weekends. On-going construction or renovation projects will continue through midterm and final exam periods. The University will take measures to ensure that prudent construction practices are followed, but there may be noise, dust and temporary interruption of some services. Residents may be required to temporarily or permanently relocate to facilitate construction or renovation to their residence area. There will be no compensation or reduction to your residence fees due to disruption and/or relocation.

  • Ordering and Maintenance CBB shall use Verizon’s electronic Operations Support System access platforms to submit Orders and requests for maintenance and repair of Services, and to engage in other pre-ordering, ordering, provisioning, maintenance and repair transactions. If Verizon has not yet deployed an electronic capability for CBB to perform a pre-ordering, ordering, provisioning, maintenance or repair, transaction offered by Verizon, CBB shall use such other processes as Verizon has made available for performing such transaction (including, but not limited, to submission of Orders by telephonic facsimile transmission and placing trouble reports by voice telephone transmission).
