Common use of Open Orders Clause in Contracts

Open Orders. On the Closing Date, Buyer shall assume and agree to perform Seller's obligations with respect to the Open Orders (using Seller as an independent contractor pursuant to the Manufacturing Agreement during the term thereof), including Seller's obligation to pay commissions to its sales representatives pursuant to the Representative Contracts with respect to such Open Orders.
