For purposes of this Agreement, the "Forfeiture Number" shall mean a number equal to (i) $10,000,000 divided by (ii) the Market Price of a Unit on the Effective Date and the terms "Cause," "Good Reason" and "Permanent Disability" shall have the meanings ascribed to them in the form of Employment Agreement by and between Gellein and the Company attached to Section 6.3(g) of the Parent Letter delivered in connection with the Merger Agreement.
