Omnibus Assignment. At Closing, Sellers will deliver an Omnibus Assignment of Intellectual Property Rights executed by those Sellers or other persons designated by SFC on Schedule 10.07 assigning to Archway any intellectual property rights which may be owned or retained by such Sellers in the Owned Intellectual Property Rights.
