OFFSET ADJUSTMENTS. Notwithstanding anything to the contrary herein, the redemption price (regardless of how determined) and dividends are subject to offset pursuant to the terms of the Stock Purchase Agreement.
OFFSET ADJUSTMENTS. If an adjustment to Basic Rent pursuant to Section 3.3(b) results in a negative amount of Basic Rent due on such date, then the Lessee shall (and is hereby authorized by the Lessor to) subtract the absolute value of such negative amount from the Net Sales Proceeds otherwise payable to the Lessor on such Rent Payment Date and retain such amount for its own account. If any Unsold Vehicle has been remarketed or sold pursuant to Section 14.2(d) and Lessee has paid all amounts due hereunder to the Lessor, the Net Sales Proceeds of such Vehicle shall be distributed as provided in Section 14.2(f).
