The 'Official Request' clause defines the formal process by which one party must submit requests or communications to the other party under the agreement. Typically, this clause specifies the acceptable methods for making such requests—such as in writing, via email, or through registered mail—and may require that requests be addressed to designated representatives or offices. By establishing a clear and standardized procedure for official communications, this clause helps prevent misunderstandings and ensures that all parties are properly informed of important matters.
Official Request. If Receiving Party is requested to provide Confidential Information to any court, governmental/regulatory agency, or other third party pursuant to a court order, subpoena, or other process of law, Receiving Party must, to the extent permissible under applicable law, first provide Disclosing Party with prompt written notice of such request and cooperate with Disclosing Party to appropriately protect against, or limit, the scope of the requested disclosure. To the extent practicable, Receiving Party will otherwise continue to treat the requested information as Confidential Information.
Official Request. A request for police assistance made by one Party to one or more other Parties under the terms of this Agreement.
Official Request. The Centre agrees to make an official request for funding for Nurse Practitioner wage increases annually, as indicated in the compensation of primary care document (that has been submitted to the MOHLTC as a joint submission with the AOHC and NPAO). In addition, funding for such wage increase will be requested each and every time that any funding for programs employing Nurse Practitioners is made.
Official Request. Assistance shall be rendered by any party to this Agreement upon request of the Fire Chief, or the duly authorized representative of the Requesting Party. Except as provided in paragraph 6, requests shall be initiated through the Aiding Party’s dispatch center for any emergency situation.
Official Request. Any Requesting Party may invoke the provisions of this agreement whenever it determines, in its sole discretion, that it temporarily needs additional police officers or equipment from another Party. Any Officer-in-Charge may request assistance from any other Party for any valid law-enforcement purpose, whether or not said purpose is set forth in this Agreement. Requests for assistance by the requesting municipality shall be forwarded to the commanding officer, or his designee, of that municipality in a timely manner through the chain of command. Officers that fail to follow this procedure will be subject to discipline and may have their ability to invoke mutual aid curtailed or eliminated. However, the technical failure to follow a specific method of making a request is not critical to the invocation of mutual aid under this agreement when it comes to conferring lawful authority on an officer to exercise police powers. The requesting Party is responsible for providing responding municipalities or Parties with the information necessary to determine the levels of assistance required. To the extent possible and practicable, when appropriate any Official Request shall include all pertinent information such as the nature, location, and expected duration of the event or situation giving rise to the Official Request; the number of Police Officers requested, including specialty requirements; the type of equipment and logistical support needed; the location to which Police Officers should report; and the name of the Officer- in-Charge to whom Police Officers should report to. This Agreement is not intended to impose any obligation on any Party to respond to any Official Request.

  • Special Requests Additional Services will be considered by request and billed separately: -Waxing -Shampooing of rugs and carpets -Additional Cleaning of areas or additional cleaning services not quoted in the Master Agreement’s Schedule, Building Areas and Janitorial Standards, and/or “Scope of Work” per agency.

  • Conflict with Letter of Credit Application In the event of any conflict between the terms hereof and the terms of any Letter of Credit Application, the terms hereof shall control.

  • Notification of Legal Requests Contractor shall immediately notify City upon receipt of any subpoenas, service of process, litigation holds, discovery requests and other legal requests (“Legal Requests”) related to all data given to Contractor by City in the performance of this Agreement (“City Data” or “Data”), or which in any way might reasonably require access to City’s Data, and in no event later than 24 hours after it receives the request. Contractor shall not respond to Legal Requests related to City without first notifying City other than to notify the requestor that the information sought is potentially covered under a non-disclosure agreement. Contractor shall retain and preserve City Data in accordance with the City’s instruction and requests, including, without limitation, any retention schedules and/or litigation hold orders provided by the City to Contractor, independent of where the City Data is stored.

  • Manner of Requesting a Letter of Credit The Borrower shall provide at least five (5) Business Days’ advance written notice to the Administrative Agent of each request for the issuance of a Letter of Credit, such notice in each case to be accompanied by an Application for such Letter of Credit properly completed and executed by the Borrower and, in the case of an extension or amendment or an increase in the amount of a Letter of Credit, a written request therefor, in a form acceptable to the Administrative Agent and the L/C Issuer, in each case, together with the fees called for by this Agreement. The Administrative Agent shall promptly notify the L/C Issuer of the Administrative Agent’s receipt of each such notice (and the L/C Issuer shall be entitled to assume that the conditions precedent to any such issuance, extension, amendment or increase have been satisfied unless notified to the contrary by the Administrative Agent or the Required Lenders) and the L/C Issuer shall promptly notify the Administrative Agent and the Lenders of the issuance of the Letter of Credit so requested.

  • Notice of IRS or TWC Insolvency Grantee will send notice to the SUD email box, ▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇▇▇▇▇▇▇@▇▇▇▇.▇▇▇▇▇.▇▇.▇▇, their insolvency, incapacity or outstanding unpaid obligations to the Internal Revenue Service (IRS) or Texas Workforce Commission (TWC) within five (5) days of the date of becoming aware of such.
