In no way shall the provisions of this Agreement limit your or the Fund’s authority and discretion to take such action as you or it may deem appropriate or advisable, without notice, in connection with all matters relating to the operation of the Fund or any Series and the sale of Shares, including the right to suspend sales or withdraw the offering of Shares of one or more Series. You will advise us of any U.S. states and other U.S. jurisdictions where the Shares are not qualified for sale.
