OFFER PROVISIONS. (a) Other than approval of the Offer by the Hellenic Capital Market Commission (HCMC), the Financial Services Authority (FSA), the United Kingdom Listing Authority (UKLA) and the U.S. Securities and Exchange Commission (SEC), no regulatory, competition or other similar clearance or consent in relation to the Offer or the Transaction is required to be obtained by the Company or any member of the Group. (b) Each of the Blue Shares and Blue ADRs acquired by the Company pursuant to the Offer, the Squeeze-out or the Sell-out are (or will be upon their acquisition) solely, legally and beneficially owned by the Company free from any claims, third party rights or competing interests.

OFFER PROVISIONS. All provisions of this Offer shall survive the completion of this transaction. Prior to the execution of the Lease, in the event of any conflict between the terms of this Offer and the terms of the Lease, the terms of this Offer shall prevail. After execution of the Lease and commencement of the Term, the terms of the Lease shall prevail. This Offer may be executed in one or more counterparts, and by the different parties hereto in separate counterparts, each of which when executed shall be deemed to be an original but all of which taken together shall constitute one and the same Offer. The parties hereto agree that signed copies of this Offer sent by facsimile or email shall be deemed to be originals.

OFFER PROVISIONS. All provisions of this Agreement shall service the completion of this transaction. In the event of any conflict between the terms of this Agreement and the terms of the Least, the terms of the Lease shall prevail.
