Common use of OFAC List Clause in Contracts

OFAC List. (a) The Guarantors certify to the Administrative Agent and each Bank that neither they nor any Borrower has been designated as a "specially designated national and blocked person" on the most current list published by the U.S. Treasury Department Office of Foreign Assets Control at its official website, ▇▇▇▇://▇▇▇.▇▇▇▇▇.▇▇▇/ofac/t11sdn.pdf or at any replacement website or other replacement official publication of such list (the "OFAC List"). Upon the request of Administrative Agent given at reasonable intervals, each Guarantor will update the foregoing information. (b) Each of the Administrative Agent and each Bank certify to the Guarantors and each Borrower that it has not been designated as a "specially designated national and blocked person" on the OFAC list. Upon the request of any Guarantor or Borrower given at reasonable intervals, the Administrative Agent or any Bank will update the foregoing information.

(b) Each of the Administrative Agent and each Bank certify to the Guarantors and each Borrower that it has not been designated as a "specially designated national and blocked person" received notice that it is listed on the most recent OFAC listList. Upon the request of any Guarantor or Borrower given at reasonable intervals, the Administrative Agent or any Bank will update the foregoing information.
