Common use of Odmena Clause in Contracts

Odmena. (a) For services performed in accordance with the Agreement, AbbVie shall pay Institution the fees set forth in the Study budget attached hereto and incorporated herein as Exhibit A (“Study Budget”). The parties agree that the fees set forth in Exhibit A are based on the quantities of the Study procedures required by the EC approved Protocol as of the Effective Date. If a Protocol amendment, as approved by the EC, changes the quantity of existing Study procedures and AbbVie’s payment for the modified quantity of existing Study procedures will not exceed the overall Study Budget, AbbVie will provide Institution with a written notice and pay Institution without requiring an additional written amendment to the Agreement. The parties further agree that the amount for payments set forth in Exhibit A represents the fair market value for the services to be rendered and has not been determined in any manner that takes into account the volume or value of any referrals or business otherwise generated between Institution and any member of the AbbVie Group. (b) Institution represents and warrants that it is now in compliance with, and undertakes that in performance of its obligations under this Agreement, it shall continue to comply with, all applicable Laws, regulations and industry codes of practice, including those related to anti-bribery and anti-corruption. Institution further represents and warrants that it will not offer, promise or authorize the giving of anything of value to a government official or other person to obtain or retain business or gain a business advantage. (c) In the event that the Agreement is terminated, AbbVie shall pay Institution for services performed and non- cancelable expenses incurred up to the effective date of termination. AbbVie shall not be obligated to reimburse Institution for expenses that are invoiced to AbbVie more than one hundred eighty (180) days after the termination date of this Agreement.

Odmena. (a) For services performed AbbVie shall pay the Institution in accordance with the Agreement, AbbVie shall pay Institution the fees set forth in the Study budget attached hereto and incorporated herein as Exhibit A (“Study BudgetBudget Summary and Payment Schedule”). The parties agree that AbbVie will pay the fees agreed compensation set forth in Exhibit this Agreement in total to the Institution´s bank account. This compensation does not cover remuneration for the Principal Investigator and co-operating Study team. AbbVie warrants to cover the remuneration for the Principal investigator and his Study team through a separate Investigator Clinical Study Agreement. a. (b) The Institution understands and agrees that no Institution Personnel, with the quantities exception of the Principal Investigator, will receive any funds from AbbVie in connection with the performance of the Study procedures required other than the funds paid to Institution in accordance with Exhibit A. Based upon the approved supporting documentation, the Institution shall issue an invoice stating the variable symbol. Payments will be made in EUR currency and all intermediary bank fees will be covered by the EC approved Protocol as of the Effective Date. If a Protocol amendment, as approved by the EC, changes the quantity of existing Study procedures and Sponsor through AbbVie’s payment for the modified quantity of existing Study procedures will not exceed the overall Study Budget, AbbVie will provide Institution with a written notice and pay Institution without requiring an additional written amendment to the Agreement. The parties further agree that the amount for payments set forth in Exhibit A represents the fair market value for the services to be rendered and has not been determined in any manner that takes into account the volume or value of any referrals or business otherwise generated between the Institution and any member of the AbbVie Group. V prípade, že dodatok k Protokolu schválený etickou komisiou mení počet procedúr v Skúšaní a platby žiadny Personál zariadenia okrem Zodpovedného skúšajúceho nedostane od spoločnosti AbbVie za takýto zmenený počet procedúr neprekročia celkový Rozpočet Skúšanias súvislosti s vykonaním Skúšania žiadne iné finančné prostriedky okrem tých, poskytne spoločnosť AbbVie ktoré budú Zariadeniu písomné oznámenie vyplatené podľa Prílohy A. V náväznosti na schválenú doplnkovú dokumentáciu Zariadenie vystaví faktúru, ktorá bude označená príslušným variabilným symbolom. Platby budú realizované v peňažnej mene Euro a uhradí Zariadeniu zodpovedajúce čiastky bez nutnosti uzatvoriť dodatočný písomný dodatok k tejto Zmluvevšetky bankové poplatky sprostredkujúcich bánk znáša Zadaávateľ prostredníctvom spoločnosti AbbVie. Spoločnosť AbbVie nebude povinná nahradiť Zariadeniu výdavky, ktoré jej budú fakturované viac než stoosemdesiat (180) dní po dátume zániku tejto Zmluvy. (e) AbbVie shall not be responsible for paying for services performed in violation of the Protocol or for data contained in a CRF which is incomplete or inaccurate. If payment has been made for such services, the amount paid shall be deducted from the final payment due under this Agreement (the “Final Payment”).

Odmena. (a) For services performed in accordance with the Agreement, AbbVie shall pay Institution the fees set forth in the Study budget attached hereto and incorporated herein as Exhibit A (hereinafter referred to as “Study Budget”). The parties agree that the fees set forth in Exhibit A are based on the quantities of the Study procedures required by the EC approved Protocol as of the Effective Date. If a Protocol amendment, as approved by the EC, changes the quantity of existing Study procedures and AbbVie’s payment for the modified quantity of existing Study procedures will not exceed the overall Study Budget, AbbVie will provide Institution with a written notice (a) Za služby vykonané v súlade s touto Zmluvou zaplatí spoločnosť AbbVie Zariadeniu čiastky stanovené v Rozpočte skúšania, ktorý je priložený k tejto Zmluve a tvorí jej súčasť ako Príloha A (ďalej len „ Rozpočet Skúšania“). Zmluvné strany súhlasia s tým, že čiastky uvedené v prílohe A vyplývajú z počtu procedúr Skúšania ktoré sú požadované Protokolom skúšania schváleným k dátumu účinnosti príslušnou etickou komisiou. V prípade, že dodatok k Protokolu schválený etickou komisiou mení počet procedúr v Skúšaní a platby spoločnosti AbbVie za takýto zmenený počet procedúr neprekročia celkový Rozpočet Skúšania, poskytne spoločnosť AbbVie and pay Institution without requiring an additional written amendment to the Agreement. The parties further agree that the amount for payments set forth in Exhibit A represents the fair market value for the services to be rendered and has not been determined in any manner that takes into account the volume or value of any referrals or business otherwise generated between Institution and any member of the AbbVie Group. Institution understands and agrees that no Institution Personnel, with the exception of Principal Investigator, will receive any funds from AbbVie Zariadeniu čiastky stanovené v Rozpočte skúšania, ktorý je priložený k tejto Zmluve a tvorí jej súčasť ako Príloha A („Rozpočet Skúšania“). Zmluvné strany súhlasia s tým, že čiastky uvedené v prílohe A vyplývajú z počtu procedúr Skúšania ktoré sú požadované Protokolom skúšania schváleným k dátumu účinnosti príslušnou etickou komisiou. V prípade, že dodatok k Protokolu schválený etickou komisiou mení počet procedúr v Skúšaní a platby spoločnosti AbbVie za takýto zmenený počet procedúr neprekročia celkový Rozpočet Skúšania, poskytne spoločnosť AbbVie in connection with the performance of the Study other than the funds paid to Institution in accordance with Exhibit A. Zariadeniu písomné oznámenie a uhradí Zariadeniu zodpovedajúce čiastky bez nutnosti uzatvoriť dodatočný písomný dodatok k tejto Zmluve. Zmluvné strany súhlasia s tým, že platby stanovené v Prílohe A predstavujú objektívnu trhovú hodnotu za služby, ktoré majú byť poskytnuté, a neboli stanovené spôsobom, ktorý by prihliadal na množstvo alebo hodnotu nejakých odporúčaní alebo zákaziek vzniknutých medzi Zariadením a ktorýmkoľvek členom skupiny AbbVie iným spôsobom.. Zariadenie berie na vedomie a súhlasí s tým, že žiadny člen Personálu zariadenia okrem Zodpovedného skúšajúceho nedostane od spoločnosti AbbVie v súvislosti s vykonávaním Skúšania žiadne finančné prostriedky okrem tých, ktoré dostalo Zariadenie podľa Prílohy A. (b) Institution represents and warrants that it is now in compliance with, and undertakes that in performance of its obligations under this Agreement, it shall continue to comply with, all applicable Laws, regulations and industry codes of practice, including those related to anti-bribery and anti-corruption. Institution further represents and warrants that it will not offer, promise or authorize the giving of anything of value to a government official or other person to obtain or retain business or gain a business advantage. (b) ▇▇▇▇▇▇▇▇▇▇ Zariadenie vyhlasuje a zaručuje, že dodržiava a zaväzuje sa , že počas plnenia svojich povinností podľa tejto Zmluvy bude aj naďalej dodržiavať všetky platné Právne predpisy, úpravy a pracovné kódexy odvetvia vrátane tých, ktoré sa týkajú boja proti úplatkárstvu a korupcii. Zariadenie ďalej vyhlasuje a zaručuje, že nebude ponúkať, sľubovať alebo povoľovať poskytnutie čohokoľvek hodnotného štátnemu predstaviteľovi alebo inej osobe s cieľom získať alebo si udržať nejakú zákazku alebo si zabezpečiť nejakú obchodnú výhodu. (c) In the event that the Agreement is terminated, AbbVie shall pay Institution for services performed and non- cancelable expenses incurred up to the effective date of termination. AbbVie shall not be obligated to reimburse Institution for expenses that are invoiced to AbbVie more than one hundred eighty (180) days after the termination date of this Agreement.
