Common use of Obligations Clause in Contracts

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will continue to perform his duties faithfully and to the best of his ability and will continue to devote his full business efforts and time to the Company. For During such time as the duration of Executive is employed by the Employment TermCompany, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any material direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote substantially all of his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Boardthat would impact in any material respect his ability to perform his duties and obligations hereunder.

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCompany’s Chief Executive Officer.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board of Directors of the Company (the “Board”) (which approval will not be unreasonably withheld); provided, however, that Executive may, without the approval of the Board, serve in any capacity with any civic, educational or charitable organization, provided such services do not interfere with Executive’s obligations to Company.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration (including membership on a board of directors) without the prior approval of the BoardChief Executive Officer; provided, however, that Executive may, without the approval of the Chief Executive Officer, serve in any capacity with any civic, educational, or charitable organization, provided such services do not interfere with Executive’s obligations to the Company.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior written approval of the Board.

During the Employment Term, Executive will perform his duties to the Company and Parent faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation employment or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the CompanyCompany during normal business hours. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration remuneration, other than those which he is currently engaged, without the prior approval of the Board.

For the duration of Executive agrees during the Employment Term, Executive agrees not to actively engage in any other directly competitive employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardChief Executive Officer; provided, however, that Executive may serve in any capacity with any civic, educational or charitable organization.

Obligations. During the Employment Term, Executive will continue to perform his duties faithfully and to the best of his ability and will continue to devote his full business efforts and time to the Company. For the duration of the Employment Term, and as before, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior written approval of the Board.

Obligations. During the Employment TermTerm (as defined herein), Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, consulting or consulting other business activity directly related to the business in which the Company is now involved or becomes involved during the Employment Term for any direct or indirect remuneration without the prior approval of the Board, and Executive will not engage in any other activities that conflict with Executive’s obligations to the Company.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the BoardCompany’s Chief Executive Officer. For clarity, service on a not-for-profit board of directors shall not be considered engagement in other employment, occupation or consulting activities.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board. Notwithstanding the foregoing, Executive may serve on the board of directors of any other companies or work in academic pursuits as long as such service does not materially interfere with the performance of his duties to the Company.

Obligations. During the Employment Term, Executive will perform his her duties faithfully and to the best of his her ability and will devote his her full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the CEO or the Company’s Board of Directors (the “Board”).

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

Obligations. During the Employment Term, Executive will perform his her duties faithfully and to the best of his her ability and will devote his full substantially all of her business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Boardthat would impact in any material respect her ability to perform her duties and obligations hereunder.

Obligations. During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other competitive employment, occupation or consulting activity, or any other employment, occupation or consulting activity for any direct or indirect remuneration remuneration, without the prior approval of the Board.

During the Employment TermTerm (as defined below), Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of Executive's employment with the Employment TermCompany, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board.

For ; provided that nothing in this Section 1(c) will not be deemed to prohibit the duration Executive from serving as a director of or a consultant to other persons, corporations, or businesses to the Employment Term, Executive agrees extent that such service does not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without substantially interfere with the prior approval of the BoardExecutive’s duties and obligations under this Agreement.

Obligations. During the Employment TermTerm and as consideration for the compensation set forth herein, Executive will perform his duties faithfully and to the best of his ability and will shall devote his full business efforts and time during normal business hours to the Company. Executive further agrees to comply with all Company policies currently in existence or that may be adopted by the Company during the Employment Term.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the CEO or the Company's Board of Directors (the “Board”).

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of the Board. Current activities outside the scope of Executives’ responsibilities at the Company are listed in Exhibit A and are hereby approved by the Board.

For the duration of the Employment Term, Executive agrees not to actively engage in (i) any other employment, occupation or consulting activity, or (ii) any consulting activity in which Executive is engaged as of the Effective Date, if the same would adversely affect Executive's ability to continue to render services to the Company as contemplated by this Agreement, in each case for any direct or indirect remuneration without the prior approval of the Board.. Notwithstanding the foregoing, the Company and Executive acknowledge and agree that Executive shall be permitted to invest in any and serve on the boards (or similar advisory role) of other employment, occupation companies or consulting activity for any direct or indirect remuneration without the prior approval of the Boardentities.

During the Employment Term, Executive will perform his Executive’s duties faithfully and to the best of his Executive’s ability and will devote his Executive’s full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration or no remuneration without the prior approval of the Board.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration without the prior approval of a co-CEO, subject to the Boardterms of Section 8, below.

For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation or consulting activity for any direct or indirect remuneration which would conflict or interfere with the performance of such services without the prior approval of the COO/CFO, the CEO or the Board.

Obligations. During the Employment Term, Executive will perform his duties faithfully and to the best of his ability and will devote his full business efforts and time to the Company. For the duration of the Employment Term, Executive agrees not to actively engage in any other employment, occupation occupation, or consulting activity for any direct or indirect remuneration without the prior approval of the CEO or the Company's Board of Directors (the "Board").
