Obligations Several; Actions in Concert. The obligations of Purchasers hereunder are several and no Purchaser shall be responsible for the obligations or Commitment of any other Purchaser hereunder. Nothing contained herein or in any other Note Document, and no action taken by Purchasers pursuant hereto or thereto, shall be deemed to constitute Purchasers as a partnership, an association, a joint venture or any other kind of entity. Anything in this Agreement or any other Note Document to the contrary notwithstanding, each Purchaser hereby agrees with each other Purchaser that no Purchaser shall take any action to protect or enforce its rights arising out of this Agreement or any Note or otherwise with respect to the Obligations without first obtaining the prior written consent of Requisite Purchasers (as applicable), it being the intent of Purchasers that any such action to protect or enforce rights under this Agreement or any other Note Document with respect to the Obligations shall be taken in concert and at the direction or with the consent of Requisite Purchasers (as applicable).

Nothing contained herein or in any other Note Credit Document, and no action taken by Purchasers Lenders pursuant hereto or thereto, shall be deemed to constitute Purchasers Lenders as a partnership, an association, a joint venture or any other kind of entity. Anything in this Agreement or any other Note Credit Document to the contrary notwithstanding, each Purchaser Lender hereby agrees with each other Purchaser Lender that no Purchaser Lender shall take any action to protect or enforce its rights arising out of this Agreement or any Revolving Loan Note or otherwise with respect to the Obligations without first obtaining the prior written consent of Requisite Purchasers (as applicable)the Administrative Agent, it being the intent of Purchasers Lenders that any such action to protect or enforce rights under this Agreement and any Revolving Loan Note or any other Note Document otherwise with respect to the Obligations shall be taken in concert and at the direction or with the consent of Requisite Purchasers (as applicable)the Administrative Agent.

Anything in this Agreement or any other Note Funding Document to the contrary notwithstanding, each Purchaser hereby agrees with each other Purchaser that no Purchaser shall take any action to protect or enforce its rights arising out of this Agreement or any Physical Note or otherwise with respect to the Obligations without first obtaining the prior written consent of the applicable Agent (other than the Paying Agent) or Requisite Purchasers (as applicable), it being the intent of Purchasers that any such action to protect or enforce rights under this Agreement and any Physical Note or any other Note Document otherwise with respect to the Obligations shall be taken in concert and at the direction or with the consent of Agent or Requisite Purchasers (as applicable).
