Common use of Obligations of Transferees Clause in Contracts

Obligations of Transferees. No Transfer of shares of Common Stock by a Management Investor otherwise permitted pursuant to this Agreement (other than pursuant to a Piggyback Registration or pursuant to a Tag-Along Right or Drag-Along Right) shall be effective unless (x) the Transferee (including a Permitted Transferee pursuant to Section 2.3) shall have executed an appropriate document in form and substance reasonably satisfactory to the Company confirming that (i) the Transferee takes such shares subject to all the terms and conditions of this Agreement to the same extent as its Transferor was bound by and entitled to the benefits of such provisions and (ii) the shares shall bear legends, substantially in the forms required by Section 2.6, and (y) such document shall have been delivered to and approved (as described above) by the Company prior to such Transferee's acquisition of shares of Common Stock.

Obligations of Transferees. No Transfer of shares of Common Stock by a Management Investor otherwise permitted pursuant to this Agreement (other than pursuant to a Piggyback Registration or pursuant to a Tag-Along Right or Drag-Along RightRight (each as defined herein)) shall be effective unless (x) the Transferee (including a Permitted Transferee pursuant to Section 2.3) shall have executed an appropriate document in form and substance reasonably satisfactory to the Company Holdings confirming that (i) the Transferee takes such shares subject to all the terms and conditions of this Agreement to the same extent as its Transferor was bound by and entitled to the benefits of such provisions and (ii) the shares shall bear legends, substantially in the forms required by Section 2.6, and (y) such document shall have been delivered to and approved (as described above) by the Company Holdings prior to such Transferee's acquisition of shares of Common Stock.

No Transfer of shares of Common Stock by a Management Investor Shareholder otherwise permitted pursuant to this Agreement (other than pursuant to a Demand Registration, a Piggyback Registration or pursuant to a Tag-Along Right or Drag-Along Right) shall be effective unless (x) the Transferee (including a Permitted Transferee pursuant to Section 2.3) shall have executed an appropriate document in form and substance reasonably satisfactory to the Company confirming that (i) the Transferee takes such shares subject to all the terms and conditions of this Agreement to the same extent as its Transferor was bound by and entitled to the benefits of such provisions and (ii) the such shares shall bear legends, substantially in the forms required by Section 2.6, and (y) such document shall have been delivered to and approved (as described above) by the Company prior to such Transferee's acquisition of shares of Common Stocksuch shares.

No Transfer of shares of Common Stock by a Management Investor otherwise permitted per- mitted pursuant to this Agreement (other than pursuant to a Piggyback Registration or pursuant to a Tag-Along Right or Drag-Along Right) shall be effective unless (x) the Transferee (including a Permitted Transferee pursuant to Section 2.3) shall have executed an appropriate document in form and substance sub- stance reasonably satisfactory to the Company confirming that (i) the Transferee takes such shares subject to all the terms and conditions of this Agreement to the same extent as its Transferor was bound by and entitled to the benefits of such provisions and (ii) the shares shall bear legends, substantially substan- tially in the forms required by Section 2.6, and (y) such document docu- ment shall have been delivered to and approved (as described above) by the Company prior to such Transferee's acquisition of shares of Common Stock.
