Common use of OBLIGATIONS OF THE SERVICER Clause in Contracts

OBLIGATIONS OF THE SERVICER. Notwithstanding any Sub-Servicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer or a Sub-Servicer or reference to actions taken through a Sub-Servicer or otherwise, the Servicer shall remain obligated for the servicing and administering of the Receivables in accordance with the provisions of Section 4.1 of this Agreement without diminution of such obligation or liability by virtue of such Sub-Servicing Agreements or arrangements or by virtue of indemnification from a Sub-Servicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the Receivables. The Servicer shall be entitled to enter into any agreement with a Sub-Servicer for indemnification of the Servicer, and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.

Notwithstanding any Sub-Servicing Subservicing Agreement, any of the provisions of this Agreement relating to agreements or arrangements between the Servicer or a Sub-Servicer Subservicer or reference to actions taken through a Sub-Servicer Subservicer or otherwise, the Servicer shall remain obligated for the servicing and administering of the Receivables Contracts in accordance with the provisions of Section 4.1 of 3.01 and this Agreement without diminution of such obligation or liability by virtue of such Sub-Servicing Subservicing Agreements or arrangements or by virtue of indemnification from a Sub-Servicer Subservicer and to the same extent and under the same terms and conditions as if the Servicer alone were servicing and administering the ReceivablesContracts. The Servicer shall be entitled to enter into any agreement with a Sub-Servicer Subservicer for indemnification of the Servicer, and nothing contained in this Agreement shall be deemed to limit or modify such indemnification.
