Common use of Objective and Business of the Company Clause in Contracts

Objective and Business of the Company. (a) The objective of the Company is to seek attractive risk adjusted rates of return with a risk profile that is significantly lower than that of traditional “long only” small capitalization market exposure. The Company intends to achieve its objective principally through investing (through the Master Fund) in Investment Funds managed by Investment Managers who employ a variety of alternative investment strategies. The business of the Company is to invest, as a feeder fund, all or substantially all of the Company’s assets in the Master Fund, which has the same investment objective as the Company, as part of a master-feeder fund structure. In connection with its investment as a feeder fund in a master-feeder structure, the business of the Company includes purchasing, selling (including short sales), investing and trading in Securities, on margin or otherwise, and engaging in any financial or derivative transactions relating thereto or otherwise. The Company may execute, deliver and perform all contracts, agreements, subscription documents and other undertakings and engage in all activities and transactions as may in the opinion of the Board be necessary or advisable to carry out its objective or business.
