O ffset Sample Clauses
O ffset. Notwithstanding anything to the contrary herein, City may, at its option, offset any amounts due and payable under this Agreement against any debt (including taxes) lawfully due to City from TEATRO DALLAS, regardless of whether the amount due arises pursuant to the terms of this Agreement, or otherwise and regardless of whether or not the debt due to such party has been reduced to judgment by a court.
O ffset. Notwithstanding the provisions of Section 4.2, any amount which any Interest Holder is entitled to receive hereunder may be reduced by the amount equal to any amount owed by such Interest Holder or any Related Employee to the Company or an Affiliate of the Company, as applicable, and such amount shall instead be paid to the Company or such Affiliate on behalf of such Interest Holder or Related Employee, as applicable.
