Notice Upon Perceived Breach. Borrower agrees to give prompt written notice of any action or inaction by or on behalf of Agent or any Lender in connection with this Agreement or the Obligations that Borrower believes may be actionable against such party or a defense to payment of any or all of the Obligations for any reason, including, but not limited to, commission of a tort or violation of any contractual duty or duty implied by law.
