Common use of Notice of Termination Clause in Contracts

Notice of Termination. Any termination of Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 14. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated.

Any termination of the Executive's ’s employment by the Company Company, the Parent or by the Executive during the Employment Period (other than termination pursuant to Section 6(a)10(a) hereof) shall be communicated by written “Notice of Termination Termination” to the other party hereto in accordance with Section 1413 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon upon, if any, and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's ’s employment under the provision so indicated.

Notice of Termination. Any termination of the Executive's employment by the Company or by the Executive during the Employment Period (other than a termination pursuant to Section 6(a)5(a)(i) above) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1410. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which that shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated.

Notice of Termination. Any termination of the Executive's ’s employment by the Company or by the Executive during the Employment Period (other than a termination pursuant to Section 6(a)5(a) hereof) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1411 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which that shall indicate the specific termination provision in this Agreement relied upon and and, except in the case of termination pursuant to Section 5(e) hereof, shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's ’s employment under the provision so indicatedindicated (including, in the case of any Notice of Termination for Good Reason, a specific description of the event that the Executive believes constitutes an event of Good Reason).

Notice of Termination. Any termination of Executive's ’s employment by the Company Employer or by Executive during the Employment Period Term (other than termination pursuant to Section 6(a4(a)) shall will be communicated by written Notice of Termination to the other party hereto in accordance with Section 1415(i). For purposes of this Agreement, a "“Notice of Termination" shall mean ” means a notice which shall will indicate the specific termination provision in this Agreement relied upon and shall will set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's ’s employment under the provision so indicatedindicated if the termination is based on Sections 4(b), 4(c) or 4(d).

Notice of Termination. Any termination of the Executive's employment by the Company or by the Executive during the Employment Period under this Section 5 (other than termination pursuant to Section 6(aparagraph (a)(i)) shall be communicated by a written Notice of Termination notice to the other party hereto in accordance with Section 14. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate indicating the specific termination provision in this Agreement relied upon and shall set upon, setting forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated, and specifying a Date of Termination (a "Notice of Termination").

Notice of Termination. Any termination of the Executive's ’s employment by the Company or by Executive during the Employment Period hereunder (other than termination pursuant to Section 6(a)by reason of the Executive’s death or expiration of the Term of Employment or Renewed Term of Employment, if any) shall be communicated by written Notice a notice of Termination termination to the other party hereto in accordance with Section 14parties hereto. For purposes of this Agreement, a "“Notice of Termination" shall mean ” means a written notice which shall indicate indicates the specific termination provision in this Agreement relied upon and shall set sets forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated’s employment.

Notice of Termination. Any termination of Executive's ’s employment by the Company or by Executive during the Employment Period (other than termination due to death pursuant to Section 6(a)) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1412. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a written notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's ’s employment under the provision so indicated.

Notice of Termination. Any During the Term of this Agreement, any purported termination of the Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)by reason of death) shall be communicated by written Notice of Termination from one party hereto to the other party parties hereto in accordance with Section 1411 hereof. Notice of Termination. Any termination of Executive's ’s employment by the Company or by Executive during the Term of Employment Period (other than termination pursuant to Section 6(a7(a)) ), including a Notice of Non-Renewal pursuant to Section 1, shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1415 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's ’s employment under the provision so indicated.

Notice of Termination. Any termination of Executive's employment by the Company Employer pursuant to Section 7(a), 7(b) or 7(c), or by Executive during the Employment Period (other than termination pursuant to Section 6(a7(d)) , shall be communicated by a written Notice of Termination addressed to the other party hereto in accordance with Section 14. For purposes of parties to this Agreement, a . Any purported termination of Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 146 hereof. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail (other than with respect to a Good Reason termination pursuant to Section 3(iii)(F) above) the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated.

For purposes of this Agreement, a "Notice of Termination" Termination shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated.

Notice of Termination. Any termination of Executive's employment by the Company Employer or by Executive during the Employment Period (other than termination pursuant to Section 6(a)4(A) hereof) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 14hereto. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall (1) indicate the specific termination provision in this Agreement relied upon and shall upon; (2) set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated; and (3) contain any other information required by this Agreement.

Notice of Termination. Any written notice of termination given under Section 7 of Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)) this Agreement shall be communicated by written Notice of Termination provided to the other party hereto in accordance with Section 1419 of this Agreement. In addition, any written notice pertaining to a termination by the Company for Cause or by Executive for Good Reason shall meet the requirements of a Notice of Termination (as defined in this paragraph). For purposes of this Agreement, a "“Notice of Termination" shall mean ” means a written notice which shall indicate (i) indicates the specific termination provision in this Agreement relied upon and shall set upon, (ii) to the extent applicable, sets forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's ’s employment under the provision so indicatedindicated and (iii) the Date of Termination (as defined below).

Notice of Termination. Any purported termination of Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)) 5 or Section 6 of this Agreement shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1418.3 of this Agreement. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and and, except in the event of termination by Executive without Good Reason or termination by Company without Cause, such Notice of Termination shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's ’s employment under the provision provisions so indicated.

Notice of Termination. Any termination of Executive's employment by the Company pursuant to subsection 6(b) or by the Executive during the Employment Period (other than termination pursuant to Section 6(a)subsection 6(c) shall be communicated by written writing a Notice of Termination to the other party hereto in accordance with Section 14hereto. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated.

Notice of Termination. Any termination of the Executive's ’s employment by the Company or by the Executive during the Employment Period (other than a termination pursuant to Section 6(a)) hereof) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1412 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which that shall indicate the specific termination provision in this Agreement relied upon and and, except in the case of termination pursuant to Section 6(e) hereof, shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's ’s employment under the provision so indicatedindicated (including, in the case of any Notice of Termination for Good Reason, a specific description of the event or events that the Executive believes constitutes or constitute an event of Good Reason).

For purposes of this Agreement, a "Notice of TerminationNOTICE OF TERMINATION" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated.

For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and and, as applicable, shall set forth in reasonable detail the facts fact and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated.

Notice of Termination. Any termination of the Executive's --------------------- employment by the Company or by the Executive during the Employment Period (other than a termination on account of the Executive's death pursuant to Section 6(a5(a)) shall be communicated by a written Notice of Termination to the other party hereto in accordance with Section 1410. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and the Date of Termination, and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under hereunder pursuant to the provision so indicated.

Notice of Termination. Any termination of the Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a), 6(b) or 6(c), or by the Executive pursuant to Section 6(d), shall be communicated by a written Notice of Termination addressed to the other party hereto in accordance with Section 14. For purposes parties to this Agreement identifying the specific provisions of this Agreement, Section 6 under which such termination is being effected (a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated").

Notice of Termination. Any termination of the Executive's ’s employment by the Company or by the Executive during the Employment Period (other than a termination pursuant to Section 6(a)) hereof) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1412 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which that shall indicate the specific termination provision in this Agreement relied upon and and, except in the case of termination pursuant to Section 6(e) hereof, shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's ’s employment under the provision so indicatedindicated (including, in the case of any Notice of Termination for Good Reason, a specific description of the event that the Executive believes constitutes an event of Good Reason).

For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated.

Any termination of Executive's ’s employment by the Company or by Executive during the Term of Employment Period (other than termination pursuant to Section 6(a)) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1413 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's ’s employment under the provision so indicated.

Notice of Termination. Any termination of Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a4(a)) shall be communicated by written Notice of Termination to the other party hereto in accordance with Section 1411. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated.

Notice of Termination. Any During the Term of this Agreement, any purported termination of the Executive's ’s employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)by reason of death) shall be communicated by written Notice of Termination from one party hereto to the other party parties hereto in accordance with Section 1411 hereof. For purposes of this Agreement, a "“Notice of Termination" ” shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and and, if the termination is purported to be by the Company for Cause or by Executive for Good Reason, shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of the Executive's employment under the provision so indicated’s employment.

Any During the Term of this Agreement, any purported termination of Executive's employment by the Company or by Executive during the Employment Period (other than termination pursuant to Section 6(a)by reason of death) shall be communicated by written Notice of Termination from one party hereto to the other party hereto in accordance with Section 1411. For purposes of this Agreement, a "Notice of Termination" shall mean a notice which shall indicate the specific termination provision in this Agreement relied upon and shall set forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of Executive's employment under the provision so indicated. Further, a Notice of Termination for Cause is required to include the information set forth in Section 6.2.
