Common use of Notice of Special Matters Clause in Contracts

Notice of Special Matters. The Corporation covenants with the Warrant Agent that, so long as any Warrant remains outstanding, it shall send notice to the Warrant Agent and to the Holders in accordance with Article 10 of any intention to fix a record date that is prior to the Expiry Time for the issuance of rights, options or warrants (other than the Warrants) to all or substantially all the holders of its outstanding Common Shares. Such notice shall specify the particulars of such event and the record date for such event, provided that the Corporation shall only be required to specify in the notice such particulars of the event as shall have been fixed and determined on the date on which the notice is given. The notice shall be sent in each case not less than 14 days prior to such applicable record date.

Notice of Special Matters. The Corporation covenants with the Warrant Agent Trustee that, so long as any Purchase Warrant remains outstanding, it shall send will give notice to the Warrant Agent Trustee and to the Holders in accordance with Article 10 Warrantholders of any its intention to fix a record date that is prior to the Expiry Time Date for any event referred to in subsections (a), (b), (c) or (d) of section 4.1 which may give rise to an adjustment in the issuance of rights, options or warrants (other than the Warrants) to all or substantially all the holders of its outstanding Common SharesExercise Price. Such notice shall specify the particulars of such event and the record date for such event, provided that the Corporation shall only be required to specify in the notice such particulars of the event as shall have been fixed and determined on the date on which the notice is given.
