Common use of Notice of Adjustments of Conversion Price Clause in Contracts

Notice of Adjustments of Conversion Price. Whenever the Conversion Price is adjusted as herein provided: the Company shall compute the adjusted Conversion Price in accordance with Section 7.4 and shall prepare a certificate signed by the President or Chief Financial Officer of the Company setting forth the adjusted Conversion Price and showing in reasonable detail the facts upon which such adjustment is based, and such certificate shall forthwith be delivered to each Holder.

Notice of Adjustments of Conversion Price. Whenever the Conversion Price is adjusted as herein provided: provided the Company shall compute the adjusted Conversion Price in accordance with Section 7.4 Condition 6(C) and shall prepare a certificate signed by the President or Chief Financial Officer chief financial officer of the Company setting forth the adjusted Conversion Price and showing in reasonable detail the facts upon which such adjustment is based, and such certificate shall forthwith be delivered to each Holderany paying agent and the Company shall cause notice thereof to be delivered in accordance with Condition 15 at least ten (10) Business Days in advance of the effective date of such adjustment.

Whenever the Conversion Price is adjusted as herein provided: (a) the Company shall compute the adjusted Conversion Price in accordance with Section 7.4 11.4 and shall prepare a certificate signed by the President or Chief Financial Officer of the Company CP Certificate setting forth the adjusted Conversion Price conversion price and showing in reasonable detail the facts upon which such adjustment is based, and such certificate shall forthwith be delivered to filed at each Holder.office or agency maintained for the purpose of conversion of Notes; and
