Not Liable. None of the directors, officers, partners, agents, counsel, consultants or employees of any party hereto or of any third party beneficiary shall be personally liable for any action taken or omitted to be taken by any of them or by any such party under or in connection with this Agreement and the other Definitive Agreements, except for willful misconduct.
