London Branch is hereby instructed by the other parties to this Escrow Agreement on the terms of this Escrow Agreement and agrees to hold the Escrow Funds as escrow agent for their benefit and to accept payments in, make payments from and otherwise operate the Escrow Account as specified in this Escrow Agreement.
