Common use of Nonsolicitation Clause in Contracts

Nonsolicitation. During the Restricted Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries to leave the employ of the Company or its subsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries within 180 days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-year period immediately preceding Executive's termination of employment with the Company.

Nonsolicitation. During the Restricted Noncompete Period, Executive shall --------------- not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries Subsidiaries to leave the employ of the Company or its subsidiariessuch Subsidiary, or in any way interfere with the relationship between the Company or and any of its subsidiaries Subsidiary and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or and any of its subsidiaries Subsidiary within 180 days prior to the time such employee was hired by the Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or and any of its subsidiaries Subsidiary to cease doing business with the Company or its subsidiaries such Subsidiary or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or and any subsidiary Subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or and any of its subsidiaries Subsidiary and with which the Company or and any of its subsidiaries Subsidiary has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries and any Subsidiary in the onetwo-year period immediately preceding Executive's termination of employment with the Companya Separation.

Nonsolicitation. During the Restricted Noncompete Period, and except in respect of Executive's executive assistant(s), Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries Subsidiaries to leave the employ of the Company or its subsidiariessuch Subsidiary, or in any way interfere with the relationship between the Company or and any of its subsidiaries Subsidiary and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or and any of its subsidiaries Subsidiary within 180 days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or and any of its subsidiaries Subsidiary to cease doing business with the Company or its subsidiaries such Subsidiary or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or and any subsidiary Subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or and any of its subsidiaries Subsidiary and with which the Company or and any of its subsidiaries Subsidiary has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries and any Subsidiary in the onetwo-year period immediately preceding Executive's termination of employment with the Companya Separation.

During the Restricted Noncompete Period, Executive you shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries Subsidiaries to leave the employ of the Company or its subsidiariesSubsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries Subsidiaries and any employee thereof, and (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries Subsidiaries within 180 days prior to the time such employee was hired by Executiveyou, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries Subsidiaries to cease doing business with the Company or its subsidiaries Subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary its Subsidiaries or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries Subsidiaries and with which the Company Company, its Subsidiaries or any of its subsidiaries Affiliates has entertained discussions entered into substantive negotiations or has requested and received confidential information relating to the acquisition of such business by the Company Company, its Subsidiaries or its subsidiaries Affiliates in the onetwo-year period immediately preceding Executive's termination of employment with the Companya Termination.

Nonsolicitation. During the Restricted Noncompete Period, Executive Grantee shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries Subsidiaries to leave the employ of the Company or its subsidiariesSubsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries Subsidiaries and any employee thereof, and (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries Subsidiaries within 180 days prior to the time such employee was hired by Executive▇▇▇▇▇▇▇, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries Subsidiaries to cease doing business with the Company or its subsidiaries Subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary its Subsidiaries or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries Subsidiaries and with which the Company Company, its Subsidiaries or any of its subsidiaries Affiliates has entertained discussions entered into substantive negotiations or has requested and received confidential information relating to the acquisition of such business by the Company Company, its Subsidiaries or its subsidiaries Affiliates in the onetwo-year period immediately preceding Executive's Grantee’s termination of employment with the Company.

Nonsolicitation. During The Employee hereby agrees that (i) during the Restricted Term and, except as provided in Section 3, for a period of one (1) year after the date of termination (the “Nonsolicitation Period”) the Employee shall not, Executive shall not directly or indirectly through another entity (i) entity, induce or attempt to induce any employee of the Company or its subsidiaries Subsidiaries to leave the employ of the Company or its subsidiariesSubsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries Subsidiaries and any employee thereof, (ii) knowingly hire any person thereof or otherwise employ or receive the services of an individual who was an employee of the Company or its Subsidiaries at any of its subsidiaries within 180 days prior to time during such Nonsolicitation Period, except any such individual whose employment has been terminated by the time such employee was hired by ExecutiveCompany and (ii) during the Nonsolicitation Period, (iii) the Employee shall not induce or attempt to induce any customer, supplier, client, broker, licensee or other business relation of the Company or any of its subsidiaries Subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-year period immediately preceding Executive's termination of employment with the CompanySubsidiaries.

During the Restricted Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries to leave the employ of the Company or its subsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries within 180 days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-year period immediately preceding Executive's ’s termination of employment with the Company.

During the Restricted Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries to leave the employ of the Company or its subsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries within 180 days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-year period immediately preceding Executive's termination of employment with the Company.

Nonsolicitation. During the Restricted Period, Executive --------------- shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries to leave the employ of the Company or its subsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries within 180 days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-year period immediately preceding Executive's termination of employment with the Company.

During the Restricted Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries to leave the employ of the Company or its subsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries within 180 one hundred and eighty (180) days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-one (1) year period immediately preceding Executive's ’s termination of employment with the Company.

Nonsolicitation. During the Restricted Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company or its subsidiaries to leave the employ of the Company or its subsidiaries, or in any way interfere with the relationship between the Company or any of its subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company or any of its subsidiaries within 180 one hundred-eighty (180) days prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company or any of its subsidiaries to cease doing business with the Company or its subsidiaries or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company or any subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company or any of its subsidiaries and with which the Company or any of its subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company or its subsidiaries in the one-one (1) year period immediately preceding Executive's ’s termination of employment with the Company.
