NONINCENTIVE COMPENSATION. As additional compensation (the "NONINCENTIVE COMPENSATION") for the services to be rendered by the Executive pursuant to this Agreement, the Executive shall be granted an incentive stock option to purchase 100,000 shares of Class A Common Stock, at an exercise price of $.39 per share, under the Option Plan.
