Common use of NONINCENTIVE COMPENSATION Clause in Contracts

NONINCENTIVE COMPENSATION. As additional compensation (the "NONINCENTIVE COMPENSATION") for the services to be rendered by the Executive pursuant to this Agreement, the Executive shall be granted an incentive stock option to purchase 100,000 shares of Class A Common Stock, at an exercise price of $.39 per share, under the Option Plan.

NONINCENTIVE COMPENSATION. As additional compensation (the "NONINCENTIVE COMPENSATIONNonincentive Compensation") for the services to be rendered by the Executive pursuant to this Agreement, the Executive shall be granted an incentive stock option to purchase 100,000 shares of Class A Common Stock, at an exercise price of $.39 per share, under the Option Plan. Employer shall cause to be issued a Stock Option Agreement reflecting the date of grant as August 26, 1998. The options associated with this grant shall vest ratably over a three (3) year period.
