Nonassignable. Neither the Executive nor the Executive's spouse nor any other beneficiary under this Agreement shall have any power or right to transfer, assign, anticipate, hypothecate, mortgage, modify or otherwise encumber in advance any of the benefits payable hereunder. Nor shall any of said benefits be subject to seizure for the payment of any debts, judgements, alimony or separate maintenance owed by the Executive or the Executive's beneficiary or any of them, or be transferrable by operation of law in the event of bankruptcy, insolvency or otherwise.
Nonassignable. Licensee's right to the AVS+, Access Code, and any documentation or documents related thereto may not be assigned, licensed, or otherwise transferred without the prior written consent of the NAIC.

Nonassignable. This AGREEMENT is binding upon the PARTIES hereto and their respective successors by merger, sale, consolidation or reorganization. This AGREEMENT is otherwise personal to the PARTIES and cannot be assigned or delegated without prior written consent of the other PARTY.
