Nonassignability and Binding Effect. A mutually agreed ----------------------------------- consideration for LA's entering into this Agreement is the reputation, business standing, and goodwill honored and enjoyed by the Reseller under its present ownership, and, accordingly, the Reseller agrees that its license and other rights and obligations under this Agreement may not be transferred or assigned directly or indirectly, whether by operation of law or otherwise, without the prior written consent of LA, and any purported transfer or assignment without such consent shall be void ab initio.
