Common use of Non-Transferability of RSUs Clause in Contracts

Non-Transferability of RSUs. The RSUs may not be transferred in any manner other than by will or by the laws of descent and distribution. Notwithstanding the foregoing, the Participant may designate one or more beneficiaries of the Participant’s RSUs in the event of the Participant’s death on a beneficiary designation form provided by the Committee. The terms of this Award Agreement are binding upon the executors, administrators, heirs, successors and transferees of the Participant.
