Non-Exclusivity; Insurance; Subrogation. (a) Indemnitee's rights of indemnification and advancement of Expenses hereunder shall not be deemed exclusive of any other rights to which Indemnitee may at any time be entitled under Applicable Law, the Declaration of Trust and Bylaws of the Trust, any other agreement, any insurance policy, a vote of shareholders, a resolution of the Board, or otherwise. No amendment, alteration, or repeal of this Agreement or of any provision hereof shall limit or restrict any right of Indemnitee hereunder with respect to any action taken or omitted by Indemnitee in a Corporate Status prior to such amendment, alteration, or repeal.

The rights of indemnification and to receive advancement of Expenses hereunder as provided by this Agreement shall not be deemed exclusive of any other rights to which Indemnitee may at any time be entitled under Applicable Lawapplicable law, the Declaration Certificate of Trust and Bylaws of Incorporation, the TrustBy-Laws, any other agreement, any insurance policy, a vote of shareholders, stockholders or a resolution of the Boarddirectors, or otherwise. No amendment, alteration, rescission or repeal replacement of this Agreement or of any provision hereof shall limit or restrict any right of be effective as to Indemnitee hereunder with respect to any action taken or omitted by such Indemnitee in a Indemnitee’s Corporate Status prior to such amendment, alteration, rescission or repealreplacement.
