Common use of Non-duplication Clause in Contracts

Non-duplication. In the event that the Executive shall perform services for the Company, the Bank, and/or any of their direct or indirect subsidiaries, any compensation or benefits provided to the Executive by such employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank, and any of their direct or indirect subsidiaries.

Non-duplication. In the event that the Executive shall perform services for the Company, the Bank, and/or Bank or any of their other direct or indirect subsidiariessubsidiary of the Company, any compensation or benefits provided to the Executive by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Company hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank, Company and any all of their its direct or indirect subsidiaries, including the Bank.

Non-duplication. In the event that the Executive shall perform services for the Company, Company or any other direct or indirect subsidiary or affiliate of the Bank, and/or any of their direct or indirect subsidiaries, it is intended that any compensation or benefits provided to the Executive by such other employer shall not duplicate the compensation or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer hereunder, it being intended that the provisions of benefits provided under this Agreement shall set forth the aggregate Agreement. The compensation and benefits payable under this Agreement shall be reduced to the Executive for all services rendered extent necessary to the Company, the Bank, and any of their direct or indirect subsidiarieseffectuate this intention.

In the event that the Executive shall perform services for the Company, the Bank, and/or Bank or any of their other direct or indirect subsidiariessubsidiary of the Holding Company, any compensation or benefits provided to the Executive by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Holding Company hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank, Holding Company and any all of their its direct or indirect subsidiaries.

Non-duplication. In the event that the Executive shall perform services for the Company, the Bank, and/or any of their direct or indirect subsidiariessubsidiary or affiliate of the Company or the Commercial Bank, any compensation or benefits provided to the Executive by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Company and the Commercial Bank hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank, Commercial Bank and any all of their respective direct or indirect subsidiariessubsidiaries and affiliates.

Non-duplication. In the event This Agreement provides that the Executive shall perform services for the Company, the Bank, and/or any of their Bank and other direct or indirect subsidiaries, any subsidiary or affiliate of the Company or the Bank. Any compensation or benefits provided to the Executive by each such employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Company and the Bank hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank, Bank and any all of their respective direct or indirect subsidiariessubsidiaries and affiliates.

In the event that the Executive shall perform services for the Company, the Bank, and/or Bank or any of their other direct or indirect subsidiariessubsidiary of the Holding Company, any compensation or benefits provided to the Executive by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Holding Company hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive for all services rendered to the Company, the Bank, Holding Company and any all of their its direct or indirect subsidiaries.

In the event that the Executive Chairman shall perform services for the Company, the Bank, and/or Bank or any of their other direct or indirect subsidiariessubsidiary of the Company, any compensation or benefits provided to the Executive Chairman by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Company hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive Chairman for all services rendered to the Company, the Bank, Bank and any of their other direct or indirect subsidiaries.

Non-duplication. In the event that the Executive Chairman shall perform services for the Company, the Bank, and/or Company or any of their other direct or indirect subsidiariessubsidiary of the Company, any compensation or benefits provided to the Executive Chairman by such other employer or pursuant to such employer’s employee benefit plans shall be applied to offset the obligations of the Employer Bank hereunder, it being intended that the provisions of this Agreement shall set forth the aggregate compensation and benefits payable to the Executive Chairman for all services rendered to the CompanyBank, the Bank, Company and any of their other direct or indirect subsidiaries.
